1. Scope and Applicability

These Terms and Conditions ("Terms") govern all commercial relationships, transactions, quotations, offers, and contractual arrangements entered into by VALL METALL, SLU in connection with the services described herein. By engaging with VALL METALL, SLU for any purpose, you agree to be bound by these Terms.

In the event of a specific written agreement between VALL METALL, SLU and a client, the terms of that agreement shall prevail over these general Terms to the extent of any conflict.

3. Services Description

VALL METALL, SLU provides the following categories of commercial services:

• Purchase, sale, and rental of industrial materials and machinery
• Import and export facilitation for industrial and automotive goods
• Sale and leasing of new commercial and passenger vehicles
• Sale and rental of pre-owned vehicles
• Supply of spare parts, accessories, and components
• Supply of fuels, lubricants, and related consumables

VALL METALL, SLU reserves the right to modify, suspend, or discontinue any service at any time and without prior notice, subject to any obligations arising from existing contracts.

4. Quotations and Pricing

All prices and quotations provided by VALL METALL, SLU are expressed in euros (€) and are exclusive of applicable taxes, import duties, customs fees, and delivery costs, unless expressly stated otherwise in writing.

Quotations are valid for the period specified therein, or, in the absence of such specification, for a period of fifteen (15) calendar days from the date of issue. VALL METALL, SLU reserves the right to revise prices due to changes in exchange rates, supplier pricing, or market conditions.

5. Payment Terms

Unless otherwise agreed in writing, payment is due within thirty (30) calendar days of the invoice date. VALL METALL, SLU reserves the right to request advance payment or a deposit prior to commencement of any service or delivery of goods.

In the event of late payment, VALL METALL, SLU reserves the right to charge statutory interest at the rate applicable under Andorran law, and to suspend the performance of any ongoing services until overdue amounts are settled.

6. Delivery and Transfer of Risk

Delivery terms for goods shall be agreed in writing for each transaction. In the absence of specific agreement, delivery terms shall be EXW (Ex Works) as defined by the latest edition of the International Chamber of Commerce Incoterms®.

Risk of loss or damage to goods passes to the buyer upon delivery in accordance with the agreed Incoterms or delivery arrangement. Title to goods passes upon receipt of full payment.

7. Warranties and Liability Limitations

VALL METALL, SLU warrants that goods supplied are, at the time of delivery, in conformity with the agreed specifications and free from material defects, to the extent such warranty is not excluded by the applicable manufacturer's terms.

VALL METALL, SLU shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to loss of profit, loss of revenue, or loss of business opportunity, howsoever arising.

The total aggregate liability of VALL METALL, SLU to any client in connection with any single transaction shall not exceed the value of that transaction, except in cases of fraud, gross negligence, or wilful misconduct.

8. Intellectual Property

All intellectual property rights in the content of this website, including trade names, logos, trademarks, and proprietary documentation, remain the exclusive property of VALL METALL, SLU. No licence is granted to any third party to use such intellectual property without prior written consent.

9. Force Majeure

VALL METALL, SLU shall not be liable for any failure or delay in performing its obligations arising from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, civil unrest, governmental actions, transport disruptions, or supply chain failures ("Force Majeure Event").

VALL METALL, SLU will notify the affected party as soon as reasonably practicable of a Force Majeure Event and will use commercially reasonable efforts to mitigate the impact of such event.

10. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with a commercial relationship and not to disclose such information to any third party without prior written consent, unless required by applicable law or competent authority.

11. Governing Law

These Terms and all transactions governed by them shall be subject to and construed in accordance with the laws of the Principality of Andorra.

12. Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms or any transaction, the parties agree to first attempt to resolve the matter through good-faith negotiation.

If the dispute cannot be resolved through negotiation within thirty (30) days, the parties may agree to submit the matter to mediation before a mutually agreed mediator based in Andorra.

In the absence of resolution through negotiation or mediation, disputes shall be subject to the exclusive jurisdiction of the competent Courts of the Principality of Andorra.

13. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court, such provision shall be severed from the remaining Terms, which shall continue in full force and effect as if the severed provision had never been included.

14. Entire Agreement

These Terms, together with any specific written agreement entered into between VALL METALL, SLU and a client, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, representations, or agreements, whether written or oral.

15. Amendments

VALL METALL, SLU reserves the right to amend these Terms at any time. The updated version will be published on this website and will apply to all transactions entered into after the date of publication.
